Terms of Service

By creating an account or using Gaffer, you agree to these Terms of Service. Please read them carefully. If you do not agree, you may not use the service.

1. About Gaffer

Gaffer is a cloud-based field operations and business management platform for trade businesses, operated by Tradem8 Ltd (“we”, “us”, “our”). These Terms apply to all users of the Gaffer platform, including the web application, mobile apps, and any associated APIs.

References to “you” or “your” refer to the account holder and any users authorised to access Gaffer under that account.

2. Account Registration

• You must be 18 years of age or older to create an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must provide accurate, current, and complete information when registering.
• You must promptly notify us of any unauthorised access to your account.
• One account is permitted per business entity unless we have explicitly agreed to multiple accounts.

3. Subscription Terms

3.1 Plans and Billing

Gaffer is offered on a subscription basis. Pricing, features, and billing cycles are described on our pricing page. Subscriptions are billed in advance on a monthly or annual basis, as selected by you at the time of purchase.

3.2 Free Trial

We may offer a free trial period for new accounts. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial expires. No charge is made during the trial period.

3.3 Payment

Payments are processed by Stripe. By providing payment details, you authorise us to charge the applicable subscription fee on a recurring basis. All fees are quoted in GBP and are exclusive of VAT where applicable.

3.4 Price Changes

We reserve the right to change subscription prices. We will give you at least 30 days’ written notice before any price change takes effect. Continued use of Gaffer after the notice period constitutes acceptance of the new pricing.

3.5 Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain access until that date. We do not provide pro-rated refunds for partial billing periods, except where required by law. Annual subscriptions may be eligible for a refund at our discretion if cancelled within 14 days of the renewal date.

3.6 Suspension for Non-Payment

If a payment fails, we will make reasonable attempts to collect it. If payment remains outstanding after 14 days, we may suspend access to your account until the balance is cleared.

4. Acceptable Use

You agree to use Gaffer only for lawful purposes and in accordance with these Terms. You must not:

• Use Gaffer to carry out or facilitate any unlawful activity
• Upload content that is illegal, harmful, defamatory, or infringes third-party rights
• Attempt to gain unauthorised access to any part of the platform or other accounts
• Interfere with or disrupt the integrity or performance of the platform
• Reverse-engineer, decompile, or attempt to extract the source code of Gaffer
• Resell or sublicense access to Gaffer without our prior written consent
• Use automated bots, scrapers, or scripts to interact with the platform outside of our official API
• Use the platform to send unsolicited bulk communications (spam)

We reserve the right to suspend or terminate accounts that violate these provisions, with or without notice depending on severity.

5. Data Ownership

Your data is yours. All operational data you create in Gaffer — including jobs, customers, quotes, invoices, certificates, and documents — belongs to you. We do not claim ownership of your business data.

You grant us a limited licence to host, store, process, and display your data for the sole purpose of providing the Gaffer service to you.

On account closure, you may request a data export in a machine-readable format within 90 days of cancellation. After 90 days, we may delete your data in accordance with our data retention policy.

6. Intellectual Property

Gaffer and all associated software, designs, trademarks, and content are the intellectual property of Tradem8 Ltd or its licensors. These Terms do not grant you any rights in our intellectual property other than the limited right to use the service as described herein.

7. Third-Party Integrations

Gaffer offers integrations with third-party services including Xero, QuickBooks, Google Calendar, Microsoft 365, Stripe, and Twilio. Your use of these integrations is subject to the respective third-party terms and privacy policies. We are not responsible for the performance, availability, or data practices of third-party services.

8. Liability Limits

Our total aggregate liability to you arising out of or in connection with these Terms or your use of Gaffer shall not exceed the total subscription fees paid by you in the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

9. Warranties and Disclaimers

Gaffer is provided “as is” and “as available”. We do not warrant that the platform will be uninterrupted, error-free, or free from vulnerabilities. We aim for high availability but do not guarantee any specific uptime SLA on standard plans.

Compliance documents generated by Gaffer (such as certificates, risk assessments, and gas safety records) are provided as tools to assist your business. You remain solely responsible for ensuring the accuracy, completeness, and legal compliance of all documents you produce and submit.

10. Indemnification

You agree to indemnify and hold harmless Tradem8 Ltd, its officers, employees, and agents from any claims, damages, losses, or costs (including reasonable legal fees) arising from your use of Gaffer, your breach of these Terms, or your violation of any applicable law or third-party rights.

11. Termination

Either party may terminate this agreement at any time. We may terminate your access immediately if you materially breach these Terms. Upon termination, your right to access Gaffer ceases and these Terms (except provisions that by their nature survive termination, such as liability limits and data retention) will no longer apply.

12. Changes to These Terms

We may revise these Terms from time to time. Material changes will be communicated by email or via an in-app notice at least 14 days before they take effect. Continued use of Gaffer after the effective date of revised Terms constitutes acceptance.

13. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms or your use of Gaffer shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before commencing formal proceedings, we encourage you to contact us at support@tradem8.co.uk so that we can attempt to resolve the dispute informally.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tradem8 Ltd in respect of your use of Gaffer and supersede all prior agreements, representations, or understandings.
